Syoobe products and services are provided by Syoobe. These Terms and Conditions of Sale ("Terms") govern your access to and use of Syoobe's websites, products and services ("Products") for the purchase of goods ("Merchandise") directly through the Site or Application.
Syoobe ("Syoobe") provides services offered by Syoobe ("Services") through our website, accessible at www.syoobe.com ("Site"), and applications for mobile devices ("Applications").
Merchandise offered for sale directly through the Site or Application is sold by the merchant that the item is determined to be sold by (the "Merchant"). Not all Merchandise on the Site or App is available for purchase; instead, you may be directed back to a third party website for purchase. These Terms do not apply to Merchandise purchased on such third party websites.
Syoobe uses third party service providers ("Payment Service Providers") for customer and merchant payment approval and services (e.g. card acceptance, payment alternatives, merchant approval and related services). By agreeing to payment services on this Site, you agree to be supported by the Payment Service Providers and these terms by authorizing us to delegate authorization and update the information you provide to us with our Payment Service Providers as requested to provide payment services to you.
Merchandise for delivery within Indonesia may be subject to additional taxes or shipping charges. Merchandise for delivery to countries outside Indonesia may be subject to taxes, customs duties and fees charged by the destination country ("Import Fees"). The consignee is the importer of records in the country of destination and is responsible for all Import Fees.
With respect to each item calculating the Import Fee, you authorize Syoobe Merchant (approved) to designate a carrier ("Designated Carrier") to contact your agent with the relevant customs and tax authorities in the country of destination, to locate your merchandise, process and send your Import Fee.
These Terms are in addition to the standard Site Terms of Service. Based on these provisions, the rights and risks of loss for delivery of goods to the recipient at the time of delivery to the general operator in Indonesia.
Please consider that Merchant may have a different policy than the Syoobe Terms. For items that you purchased from a Merchant, please refer to the applicable Merchant policies for other terms and conditions that may apply to the purchase of such items.
For products shipped internationally, please note any manufacturer's warranty that may not be valid; the manufacturer's service options may not be available; product manuals, instructions and safety instructions may not be in the destination language; the product (and accompanying materials) may not be designed according to destination country standards and the product may not comply with destination country voltage and other electrical standards (requires an adapter or converter if necessary).
You are responsible for ensuring that the product can be legally imported into the destination country. When ordering from the Site or App, the recipient is the importer of records and must comply with all laws and regulations of the destination country.
All merchandise purchased from Syoobe Merchants is manufactured pursuant to a delivery contract. This means that the risk of loss and title to the items pass to you upon our delivery to the carrier.
Syoobe, try to be as accurate as possible. However, Syoobe does not warrant that product descriptions or other content of any Syoobe Services are accurate, complete, reliable, current, or error-free. If the product offered by Syoobe's Merchant is not as described, your only solution is to contact the Merchant directly.
The suggested price displayed for a product on the Site or App represents the full retail price listed on the product itself, suggested by the manufacturer or supplier, or estimated in accordance with standard industry practice; or the estimated retail value for comparable feature items offered elsewhere. When an item is offered for sale by one of our Merchants, a price list or suggested prices may be provided by the Merchant.
Product specifications, prices and quantities are subject to change. Despite our best efforts, a small number of items in our catalog may be missed. If the correct price of an item sold by Syoobe is higher than our stated price, we will, at our discretion, contact you for instructions before shipping or canceling your order and notifying you of the cancellation. Other traders may follow a different policy in the event of a loss in the price of an item. From time to time, we may offer coupon codes or discounts as a form of purchase.
All purchases paid for with coupon codes or rebates are final sales and are non-refundable. The terms of coupon codes and discounts are subject to change at Syoobe's discretion and are subject to change without notice.
Products offered for sale on the Site or App may be in stock and while supplies last.
Parties other than Syoobe may operate stores, provide services, or sell product lines on the Site or through the Application. In addition, we provide links to the websites of certain affiliated companies and other businesses. We are not responsible for examining or evaluating, and we do not guarantee the offerings, of any of these businesses or individuals or the content of their websites.
Syoobe is not responsible or liable for the actions, products and content of any of these and other third parties. You should carefully review their privacy statement and other terms of use.
ALL INFORMATION, CONTENT, MATERIALS, MERCHANDISE, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDING OR OTHERWISE MADE TO YOU THROUGH THE SYOOBE SERVICES PROVIDED BY SYOOBE ON "AS IS" AND EXPRESSLY APPROVED BY THE APPROPRIATE TOOL. SYOOBE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SYOOBE SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR ANY OTHER SERVICES INCLUDING ON OR OTHERWISE START OR ANYTHING. IF EXCEPT SPECIFIC IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SYOOBE SERVICES IS AT YOUR SOLE RISK.
TO THE FULLEST EXTENT BY APPLICABLE LAW, SYOOBE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES INCLUDING FITNESS AND FITNESS FOR A PARTICULAR PURPOSE. SYOOBE DOES NOT WARRANT THAT ANY OTHER MERCHANDISE, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR SERVICES INCLUDE OR OTHERWISE MADE FOR YOU FOR ANNUAL PURCHASE OF THE SITE OR APPLICATIONS IN COMPONENTS. SYOOBE WILL NOT BE LIABLE FOR ANY KIND OF DAMAGES OF ANY KIND FROM THE USE OF THE SYOOBE SERVICES, OR FROM CHANGES, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR BY THEREFORE. THE SERVICES, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES, IF OTHERWISE AS STATED IN WRITING.
CERTAIN COUNTRY LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE STATEMENTS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
Any dispute or claim relating in any way to your use of the Syoobe Services, or any product or service sold or distributed by Syoobe or through the Site or Application will ultimately be resolved through the laws of the country, by a commercial arbitrator with substantial experience in resolving intellectual property issues and commercial contract disputes, which will be selected from a list in accordance with the Rules of Law and Efficient Procedures.
The judgment on the award rendered may be submitted to a court of competent jurisdiction, or an application may be submitted to that court for acceptance of the award of any award and enforcement order, as the case may be. Any laws under this Agreement will be enforced on an individual basis: Class laws and class actions are not permitted. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THIS AGREEMENT, YOU AND SYOOBE WILL REMOVE THE RIGHT TO TRIAL WITH A JURY OR TO PARTICIPATE IN A CLASS ACTION.
Notwithstanding the foregoing, each party reserves the right to institute an action at any time in a court of appropriate jurisdiction for a court award or other equivalent relief.
Please review our other policies. This Policy also governs your use of the Service. We reserve the right to make changes to our site, policies and Terms at any time. If any of these Terms are held to be invalid, void, or for any reason unenforceable, the Term is deemed fully enforceable and shall not affect the validity and enforceability of the remaining conditions.
Syoobe products and services are provided by Syoobe. These Merchant Sales Terms and Conditions (the "Merchant Agreement") govern your access to and use of Syoobe's websites, products and services ("Products") for the direct sale of goods through the Site or App. This Merchant Agreement is between you, the merchant, together with the company, affiliate or other business entity you represent (collectively, the "Seller", or "you") and Syoobe.

Syoobe reserves the right to change any terms and conditions contained in this Merchant Agreement or any policies or guidelines governing the Site, Application or Service, at any time and in its sole discretion. Any changes will be effective upon posting of the revisions on the Site. You are responsible for reviewing the notice and any applicable changes. Changes to referenced policies and guidelines may be posted without notice to you. YOUR USE OF THIS SITE AND THE SERVICES FOLLOWING SYOOBE POST ANY CHANGE WILL CONNECT YOUR ACCEPTANCE OF SUCH CHANGES OR MODIFICATIONS. IF YOU DO NOT AGREE TO THE CHANGES TO THIS AGREEMENT, DO NOT USE THE SERVICE, SITE OR APPLICATION.
Use of the Site, Application, and Services is limited to parties who can legally enter into and form contracts under applicable law. For example, minors are not permitted to use the Service. To register, you must provide your real name, address, telephone number, email address, tax identification number, and valid banking information. You represent and warrant that: (a) if you are a business person, you are properly regulated, legal in existence and in good standing under the laws of the country in which your business is registered and that you register for the Services within that country; and (b) you have all necessary rights, power and authority to enter into this Merchant Agreement and perform your obligations hereunder. If for any reason, Syoobe, in its sole discretion, believes that the information is incorrect, it reserves the right, without notice to Seller, to suspend or revoke all licenses under this Seller Agreement or refuse to provide Site Services to Seller under this Seller Agreement.
For purposes of the Alternative Dispute Resolution provisions of this Agreement, the beginning specified in this paragraph is the date on which YOU notify Syoobe in writing of the dispute.
Syoobe uses third party service providers ("Payment Service Providers") for customer and merchant payment services and settlement (e.g. card acceptance, payment alternatives, merchant settlement and related services), including: Midtrans. By utilizing this payment service on the Site, you agree to be bound by the Payment Service Provider and its terms and conditions and hereby agree and authorize us to delegate authorization and share the information you provide to us with our Payment Service Provider to the extent necessary to provide payment services to you.
You agree to comply with the procedures, policies and guidelines - contained in the Syoobe Terms and Conditions located at https://www.syoobe.com/terms-and-conditions, Privacy Policy located at https://www.syoobe.com/privacy-policy.
The procedures and guidelines contained in the Terms and Conditions, Terms of Sale and Privacy Policy sections describe the process and outline acceptable behavior, policies and prohibited practices. We may change these procedures and guidelines in the future, and such changes will take effect immediately upon posting without notice to you. You should regularly refer to the Terms and Conditions, Terms of sale and Privacy Policy section to understand current procedures.
You will provide us (using a process and time we specify) the requested information regarding shipping, tracking (to the extent available) and order status, and we may make this information publicly available. You will not email customers confirming delivery of the products you sell (except that to the extent that we have not enabled functionality for your account that allows payments to be processed based on when delivery occurs, then you will email customers confirming delivery of the products you sell within your account). formats and methods acceptable to us).
Immediately upon delivery of a customer order (or any part of a customer order), you will accurately notify us that the order has been shipped (and, in the case of a customer order that was shipped in more than one shipment, accurately tell us which portion of the order that has been sent), use our standard functionality to communicate that information when we make that functionality available to you.

Syoobe provides a platform for Sellers and buyers ("Buyers") to complete transactions. Syoobe is not involved in the actual transaction between Seller and Buyer and is not an agent of Seller except for the limited purpose of processing payments and has no agent authority for any other purpose, and Syoobe is not an agent of Buyer for any purpose. As a Seller, you may list any product on the Site unless it is a prohibited item as defined in the Site Terms of Service, this Merchant Agreement or prohibited by law.
Without limitation, you may not include products or links or post related materials that (a) violate any third party's intellectual property rights (including copyrights, trademarks, patents and trade secrets) or other proprietary rights (including publicity or personal rights); (B) constitutes slander or otherwise slander; or (c) false, illegal, stolen, or fraudulent. It is up to the Seller to accurately describe the items being sold. As a Seller, you use the Site and Services at your own risk.
As a Seller, you acknowledge that, by only providing you with the ability to publish, sell and distribute your own or third party products, services or content, the services are only acting as a passive channel for the distribution and/or publishing of those products. Syoobe has no obligation to you or any third party, and is not responsible, to review your sales, the products listed therein or other content to determine whether such products, services or content may give rise to liability to a third party.
Notwithstanding anything to the contrary herein, Syoobe believes that your sale or any other products, services, content or materials on the listings or on Syoobe's servers could create liability for Syoobe or harm other users of the Service, then you agree that Syoobe may take any action. with respect to content or materials or listings that Syoobe believes is prudent or necessary to minimize or eliminate our potential liability or to protect other users of our services.
Seller is solely responsible for creating, managing, editing, reviewing, deleting and controlling sales content posted on the Site, including all descriptions of Merchandise and product ingredient disclosures and warnings that must be disclosed by any domestic and international laws, statutes, the ordinances and/or regulations by which the Merchandise is offered for sale.
If you have reason to believe that your sale violates any law or the rights of any third party, you will immediately notify us using the function to contact Syoobe as provided on the Site. Notwithstanding anything contained in the foregoing, if you breach any of the terms of this Merchant Agreement, Syoobe reserves the right to suspend or terminate your sale and/or any access to information or data associated with your merchant account.
Seller acknowledges and agrees that, as between you and Syoobe, all Services and Applications provided by Syoobe, and all worldwide intellectual property rights therein, are the exclusive property of Syoobe. All rights not expressly granted to you in this Agreement are reserved by Syoobe.
Vendor acknowledges that the Services and Applications and their structure, organization and source code are Syoobe's valuable intellectual property. Accordingly, you will not, either directly or through a third party, (a) modify, adapt, modify, translate or create derivative works from the Site, Application or Service; or (b) reverse engineer, decompile, disassemble or otherwise attempt to obtain the source code for the Site
TO SELL MERCHANDISE ON THIS SITE, YOU MUST REGISTER YOUR MERCHANT INFORMATION ON THIS SITE. You must provide us with true and accurate information when registering and must maintain and update such information as applicable.
Seller will not impersonate any person or use a name that is not legally permitted to be used. Seller authorizes us to verify its information (including updated information), about Seller to consent to Seller for use of the Site upon registration.
Payment for each sale is designed by Syoobe to facilitate the purchase of Merchandise listed on the Site. Buyer's authorized credit card or other form of payment ("Payment Transactions via secure payment") is credited to Seller's registered account, and funds are periodically transferred to "Seller's Account" upon request for disbursement. Buyer may authorize Payment Transactions with any major credit card accepted by Syoobe or any coupon code, referral credit or gift card issued by Syoobe or a combination thereof.
The receipt of Payment Transaction funds by us on behalf of the Seller will be considered as receipt of funds by the Seller and will fulfill the obligations owed to the Seller by the Buyer in the amount of the applicable Payment Transaction.
Upon completion of the Payment Transaction, a receipt indicating that payment has been made will be issued to the Buyer. Our obligation to send funds
collected by us on your behalf will be limited to the funds we have actually received and which are not subject to a refund of the transaction or the cancellation of the transaction made by the buyer.
Syoobe and any third party agents designed by Syoobe help facilitate Payment Transactions and non-buyers of Seller's goods. The Seller will resolve any dispute directly with the Buyer or with the assistance of Syoobe.
The following are other matters related to payment transactions including the management of disputes between buyers and sellers that need attention:
By entering into this Terms Agreement and posting a listing for sale, the Seller agrees to complete the transaction as described in these Terms and this Agreement. You acknowledge that by not fulfilling these obligations, your actions or inactions may be legally enforceable.
You promise that any product, service or content published and registered will not violate the Syoobe Terms of Service as it may be changed from time to time, or any of the following:
Seller agrees not to publish, offer for sale, sell or distribute any of the following items on, through or in connection with your sale:
The sale of tobacco is highly regulated and can endanger the health of syoobe members, so we do not allow these products to be listed on syoobe such as e-cigarettes and their accessories, or items containing tobacco are not allowed on syoobe.
You agree that it is Seller's responsibility to determine whether Seller Taxes apply to transactions and to collect, report and remit the correct Seller Taxes to the appropriate tax authorities, and that Syoobe is under no obligation to determine whether Seller Taxes apply and is not responsible for collecting, reporting or remitting any sales, use or similar taxes arising from any transaction, except to the extent that Syoobe expressly agrees to collect such taxes or other transactions- fees based in connection with the collection services provided by Syoobe and used by the Seller. "Seller's Tax" means any and all sales, goods and services, use, excise, import, export, value added, consumption and other taxes and duties assessed, incurred or required to be collected or paid for any reason in connection with any advertising , offer or sell products by you on or through the Site, or in connection with the actions, inactions or omissions of you or your affiliates, or your or each of your employees, agents, contractors or representatives.
You will receive and process returns, refunds and adjustments in accordance with this Merchant Agreement and Syoobe's return policy published on the Site and App at the time of the applicable order, and we may notify customers that this policy applies to your product.
You will determine and calculate the amount of all refunds and adjustments (including taxes, shipping and handling or other fees) or other amounts payable by you to Buyers in connection with the purchase, using the functionality we enable for your account, and will direct all payments through Syoobe and third party agents designed by Syoobe.
We will make such payment to the Buyer (which may be in the same form of payment that was originally used to purchase your product), and you will reimburse us for all amounts paid. We may offset such payment against the amount to be sent or paid by Syoobe to Seller under this Agreement or request reimbursement from Seller through any of the means authorized in Section 7.k. You will promptly provide any refunds and adjustments that you are required to provide under Syoobe's applicable return policy and as required by law, and within thirty (30) days of liability arising.
Seller agrees that you may not refer links to your personal promotional websites including links to homepage web addresses that promote websites outside of Syoobe, sales outside of Syoobe, or other businesses
Your password may only be used to access the Site and Application, use the Services, sign your transactions electronically, and review your completed transactions. You are solely responsible for maintaining the security of your password.
You may not disclose your password to any third party (other than a third party authorized by you to use your account) and are solely responsible for any use or action taken with your password on this Site.
If your password is compromised, you must change your password.
You agree to comply with all applicable laws, statutes and regulations.
You may not register under a false name, business entity, tax identification number or use an unauthorized or unauthorized bank account. You may not impersonate a participant or use another participant's password.
Such fraudulent behavior is a violation of federal and state laws. Fraudulent behavior can be reported to law enforcement, and Syoobe will work closely to ensure that violators are prosecuted to the fullest extent of the law.
Other things to note are:
BECAUSE SYOOBE IS NOT INVOLVED IN ANY TRANSACTION BETWEEN BUYER AND SELLER OR OTHER PARTICIPANTS OR AGREEMENT LIABLE, IF A DISPUTE SAYS ONE OR MORE PARTIES, YOU PROVIDE SYOOBE (AND ITS AGENT AND EMPLOYEES), NATURE KNOWN AND UNKNOWN, UNINTERRUPTED AND UNINTERRUPTED, DISCLOSED AND NOT EXCLUDED, RISE OUTSIDE OR IN ANY WAY RELATED TO SUCH DISPUTE.
Since Syoobe is not an agent of Seller except for the limited purpose of processing payments and is not an agent of Buyer for any purpose, Syoobe will not act as an agent of either party with respect to resolving any dispute between participants relating to or arising out of any transaction. Syoobe urges Sellers and Buyers to cooperate with each other to resolve the dispute.
By entering into this Merchant Agreement and registering an item, you grant us a royalty-free, non-exclusive, worldwide, perpetual, irrevocable right to use, reproduce, perform, display, distribute, adapt, modify, reformat, create works derivatives of, and otherwise exploit commercially or non-commercially in any way, any and all content that you submit to Syoobe, the Site, the Application and its affiliates, and to license the former to our affiliates and operators of each site. web or other online or mobile point of presence (other than the Site or Application) where the Site, Application and/or products or services available therein are syndicated, offered, sold, advertised or described; provided, we will not modify your trademark (i.e., your trademark which you provide to us in a non-textual form for branding purposes that is separate from and not embedded or otherwise included in any product-specific information or material) from a form that provided by you (except for the re-size of trademarks to the extent necessary for presentation, so long as the relative proportions of such trademarks remain the same) and will comply with your removal requests with respect to your specific use of trademarks (provided you are unable to do so using standard functionality that made available to you through the Site, Application or Service); provided further, however, that nothing in this Merchant Agreement will prevent or interfere with our right to use without your consent the content and other materials provided by you, to the extent such use is permitted without a license from you or your affiliates under applicable law (for example, fair use under copyright law, referential use under trademark law, or a valid license from a third party). You represent and warrant that you own or control all rights to the content that you own subject to Syoobe, the Site, the Application and its affiliates, and that the use of such materials by Syoobe, the Site, the Application and its affiliates will not infringe or violate the rights of any third party. too.
Syoobe, in its sole discretion, may suspend or terminate this Merchant Agreement, your access to the Site, App or Service, or any current sale immediately without notice for any reason.
In the event of expiration or termination for any reason, any rights granted under this Merchant Agreement will automatically and immediately cease and you will stop using the Site, Service and Application. Termination will not affect Syoobe's right to recover from losses, damages, damages, defense costs, expert fees, collection fees, and/or attorney's fees or expert witness fees or other costs of any kind under this Merchant Agreement. The provisions of this Merchant Agreement which are ongoing by their nature, or as explicitly provided for, will survive the termination or expiration of this Merchant Agreement for any reason.
